Terms of Service

1. Acceptance of Terms
By using System Stats ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use the Service. We reserve the right to modify or update these Terms at any time; changes will be posted on this page with an updated "Effective Date." You are encouraged to review these Terms regularly.
The Service is operated by Szerhij Mitrovcij ("we," "us," or "our"), with registered address at ul. Instalatorów 7/33, 02-237 Warszawa, Poland.
2. Description of Service
System Stats provides a platform that allows users to monitor system statistics (e.g., CPU usage, memory usage, disk space, network data, container metrics) from their devices (e.g., macOS, Linux, Windows) remotely via a web application. The Service is offered under tiered plans (Free, Pro, Team) as described on our pricing page.
3. User Account
To use the Service, you must create a user account. You agree to:
- Provide accurate, current, and complete information during registration and keep it up to date.
- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use of your account.
You are responsible for all activities under your account, including all actions taken by devices linked to your account.
4. Use of Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to monitor systems that you do not have explicit permission to access.
- Attempt to reverse engineer, decompile, or otherwise gain unauthorized access to the Service or related systems.
- Engage in any conduct that could damage, disable, or impair the Service, including circumventing plan limits or rate limits.
- Resell, sublicense, or otherwise make the Service available to third parties outside the scope of your plan.
5. Plans and Plan Limits
The Service is offered under the plans published on our pricing page, each with its own limits on the number of machines, containers, history retention, metric resolution, and alert channels.
- If you reach the machine limit of your plan, new agents will not be able to connect until you free up a slot or upgrade. Existing machines continue to report normally.
- We may change plan features, limits, and pricing over time. Changes to a paid plan you have already subscribed to will take effect at the start of your next billing cycle unless we notify you otherwise.
6. Fees, Billing, and Payment
Paid plans (Pro and Team) are subject to the following billing terms:
- Pricing and currency. Prices are displayed in euros (€) on our pricing page and may vary depending on your location and applicable taxes.
- Billing cycles. Pro subscriptions are billed monthly or annually, as selected at checkout. Team subscriptions are billed according to the order form agreed with our sales team.
- Auto-renewal. Paid subscriptions automatically renew at the end of each billing cycle at the then-current price for the same cycle length, until you cancel.
- Payment processor. Pro checkout is handled by Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record for your purchase. This means Paddle, not us, is the seller on record to you, issues your receipts and invoices, and is responsible for collecting and remitting any applicable sales tax, VAT, or GST. Your payment method details are handled solely by Paddle; we do not store card numbers on our servers.
- Taxes. Prices shown on the pricing page exclude applicable taxes unless otherwise stated. Any tax due is calculated and charged by Paddle at checkout based on the billing address and tax identifier you provide.
- Failed payments. If a payment fails, we may suspend or downgrade your account until the issue is resolved.
7. Cancellation, Downgrades, and Refunds
- You may cancel or downgrade your paid subscription at any time from your account settings.
- Cancellation and downgrades take effect at the end of the current billing cycle. You retain full access to the paid features until then.
- Refund eligibility, including our 14-day money-back guarantee for first-time paid subscriptions, is governed by our Refund Policy, which is incorporated into these Terms by reference.
8. Team Plan
Team subscriptions are activated by our sales team and may be governed by an individually negotiated order form or agreement. Where such an order form and these Terms conflict, the order form controls for that customer.
9. Data Collection and Privacy
By using the Service, you acknowledge that we collect system statistics and other relevant data from your devices, account information, and billing information. For details on how we collect, use, store, and share data, see our Privacy Policy.
10. Data Deletion
You have the right to delete your account and any associated operational data. When you delete a device from your account, all data related to that device is permanently deleted and cannot be restored. If you delete your account, all stored operational data is permanently erased.
Note that certain billing and transaction records held by us and/or Paddle may need to be retained for legal, tax, and accounting purposes as described in our Privacy Policy, even after account deletion.
11. Modifications to the Service
We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time. If we permanently discontinue a paid feature or the Service as a whole, we will provide reasonable prior notice and, where applicable, refund the unused portion of your prepaid subscription on a pro-rata basis.
12. Limitation of Liability
To the fullest extent permitted by law, System Stats will not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of your use or inability to use the Service, even if we have been advised of the possibility of such damages. This includes, but is not limited to, data loss, system failures, or any other issues related to the Service. Our aggregate liability for any claim relating to the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless System Stats, its affiliates, employees, and contractors from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
We may suspend or terminate your account at any time, without notice, for violations of these Terms, including unlawful use of the Service, non-payment, or failure to comply with these Terms. Upon termination, all rights granted to you will immediately cease, and you must stop using the Service.
15. Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved in the competent courts of Poland, except where mandatory consumer protection laws in your country of residence grant you the right to bring proceedings in your local courts.
16. Changes to Terms of Service
We may update these Terms from time to time. If we make material changes (such as modifying fees, billing terms, or how we collect, use, or store your data), we will notify users through:
- A notice on our website or in the web application.
- An email notification (where applicable).
